Stock Exchange Release no. 5-2005/06 Ordinary General Meeting



Ambu A/S today held its ordinary general meeting. The shareholders considered the management’s review, and the Annual Report for 2004/05 was adopted.

The Board of Directors’ proposed dividend of DKK 1 per share was adopted.

Board members John Stær and Bjørn Ragle were reelected, while Jan Rasmussen did not wish to be reelected. The Chairman thanked Jan Rasmussen, the original founder of Medicotest A/S, for his considerable efforts as a member of the Ambu Board. Furthermore, new employee representatives have been elected for the Board of Directors. The employee representatives elected are Anne-Marie Holmberg Jensen, Hanne-Merete Lassen and Kirsten Therkildsen Søndersted-Olsen.

The company’s auditors KPMG C. Jespersen, Statsautoriseret Revisionsinteressentskab, and Grant Thornton, Statsautoriseret Revisionsaktieselskab, were reappointed. The Board of Directors proposed a number of amendments of the company's Articles of Association, which amendments were adopted.

  • The company's annual report shall be audited by one or two auditors appointed by the general meeting, of which at least one shall be a state-authorised public accountant. The auditors shall be appointed for one year at a time with the possibility of reappointment.
    A minor textual amendment of Article 13 concerning the holding of extraordinary general meetings.
  • The Board of Directors’ authorisation to acquire treasury shares representing up to 10 per cent of the share capital and at the bid price quoted by the Copenhagen Stock Exchange plus or minus 10 per cent was extended until the ordinary general meeting next year.


The Board of Directors elected its officers immediately after the general meeting, and N. E. Nielsen was reelected as Chairman of the Board of Directors.
